1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Luka AI, Inc., a Delaware corporation ("Luka," "we," "us," or "our"), governing your access to and use of the Luka platform and services at luka.to (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Luka is an AI-powered founder intelligence platform that helps solo founders and indie hackers prioritize growth activities. The Service analyzes data from your connected third-party integrations to provide personalized recommendations and insights.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using Luka, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Security

6. Subscription and Payment

6.1 Fees

The Service is offered on a subscription basis. Current pricing is displayed on our website. All fees are stated in U.S. dollars unless otherwise specified.

Payments are processed through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable fees. You agree to provide current, complete, and accurate payment information.

6.3 Billing Cycle

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support.

6.4 No Refunds

All fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or account cancellations. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.

We reserve the right to change our pricing at any time. We will provide notice of price changes at least 30 days before they take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Acceptable Use

You agree not to:

• Interfere with or disrupt the Service or its infrastructure

9. Intellectual Property

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUKA AI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Luka AI, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; your violation of these Terms; your violation of any rights of another party; or any data you provide to the Service.

13. Termination

You may terminate your account at any time by contacting us or using the cancellation feature in your account settings. We may suspend or terminate your account at any time for any reason, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
